Terms of Service
Warmerly is operated by Kristiyan Tsvetanov, trading as Warmerly, a UK-based sole trader. Warmerly is not a limited company. Our address is 318 Shady Lane, Birmingham, B44 9EB, England, United Kingdom. These Terms of Service ("Terms") govern your access to and use of Warmerly. By creating an account or using the service, you agree to these Terms.
1. The service
Warmerly is a sending and deliverability platform. Depending on your plan, it provides:
- Email warmup — connecting mailboxes you authorise and exchanging conversational mail with peer mailboxes in our network to build sender reputation. See our Warmup Network Participation Terms for what enrolling a mailbox means and what you may not do with addresses seen through it.
- Outreach campaigns — sending sequenced business-to-business outreach from your own connected mailboxes, to recipient lists that you supply or select, on a schedule you configure.
- A unified inbox — syncing and displaying messages from your connected email, LinkedIn, WhatsApp, and Instagram accounts, with AI-assisted classification and reply drafting.
- Lead and email discovery — searching our business-contact database and finding likely business email addresses. See our Lead Database Use Terms for what happens once you export a record.
- Deliverability tooling — inbox placement testing, authentication and DNS monitoring, blocklist monitoring, and email verification.
We provide the tooling. You decide who to contact and what to say. Warmerly does not source, approve, or vet your recipient lists, and does not send unsolicited bulk mail on its own account.
2. Your account
You are responsible for keeping your account credentials secure and for all activity that occurs under your account. You must be at least 18 years old, be acting for purposes relating to a trade or business, and have legal authority to use the mailboxes and social accounts you connect.
3. Acceptable use
See our Acceptable Use Policy, which forms part of these Terms. In summary: no spam, no phishing, no malware, no unlawful data collection, no harassment, no resale without permission.
4. Your outreach — your responsibility
Because you choose your recipients and your message, you are the data controller for your campaign and contact data, and the sender of every message that leaves your mailboxes. You warrant that, for every message you send using Warmerly:
- you have a lawful basis to contact that recipient under UK GDPR, EU GDPR, PECR, the ePrivacy Directive, CAN-SPAM, CASL, and any other law applicable to them or to you;
- you have not obtained the recipient's details unlawfully, and you honour any objection, opt-out, or deletion request you receive;
- the content is accurate and not deceptive, and the subject line reflects the message;
- you have provided accurate sender identification and a valid postal address in your workspace settings. We stamp this, and a working unsubscribe link, into the footer of every campaign email. Campaign sending is disabled until a postal address is set, because sending commercial email without one is unlawful in several of the markets our customers sell into.
Warmerly maintains a suppression list per workspace and honours unsubscribes automatically. That is a safeguard, not a substitute for your own compliance.
5. Subscription, billing, and refunds
- Plans renew automatically each billing period until cancelled.
- Cancellation takes effect at the end of the current billing cycle. You keep access until then.
- We offer a 30-day refund window from your first paid invoice, no questions asked.
- Pricing is shown in USD by default (GBP also available). Warmerly is not currently VAT registered, so no VAT is added to our prices. If that changes we will tell you before it takes effect.
- Failed payments may result in service suspension after 7 days.
If you are contracting as a consumer rather than for business purposes, you have a statutory right to cancel within 14 days of subscribing under the Consumer Contracts Regulations 2013. Our 30-day refund window is more generous and you can simply use that; to exercise the statutory right specifically, email hello@warmerly.com.
6. AI features
Some features generate text using third-party AI models — campaign personalisation, inbox classification, reply drafting, and the support assistant. AI output can be wrong, and you are responsible for reviewing anything generated before it is sent. See our Privacy Policy for what data is sent to those providers.
7. Data ownership
You own your data. Warmerly holds it as a processor on your behalf under our Data Processing Agreement. On account deletion, your data is removed on the schedule set out in our Privacy Policy.
8. Service availability
We aim for 99.9% monthly uptime. Scheduled maintenance windows are announced in advance. We are not liable for downtime caused by force majeure, third-party providers (Google, Microsoft, LinkedIn, Meta, and others), or your own configuration.
9. Warranty disclaimer
Warmerly is provided "as is" and "as available", without warranties of any kind, express or implied. We do not guarantee any specific deliverability, reply, or revenue outcome. Email reputation depends on factors outside our control, including your content, list quality, sending volume, and DNS configuration. Data in our business-contact database is compiled from public sources and is not guaranteed to be accurate or current.
10. Limitation of liability
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the service shall not exceed the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits or data. Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
11. Indemnity
You agree to indemnify and hold Warmerly harmless from any claims, penalties, or regulatory action arising from your use of the service, your message content, your mailing lists, your compliance (or non-compliance) with anti-spam and data protection law, or your violation of these Terms.
12. Termination
We may suspend or terminate your account for breach of these Terms or our Acceptable Use Policy, with or without notice depending on severity. You may terminate at any time from your account settings.
13. Governing law
These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
14. Changes
We may update these Terms. Material changes are notified by email at least 30 days before they take effect.
